This driver is actually the same as the one on the windows2000 cd, which works with my ne2000 compatible ISA card in windowsXP (nice of MS to remove support altogether, wasn't it?). Unzip both files to a folder, then use add hardware/manually/network adapters/have disk & point it at the inf file.
